Professional Services Limitation Clause
(California-Specific Owner’s Representative Disclosure)
Easy Project LLC, doing business as Easy Project Managers (“Company”), provides Owner’s Representative and project management services only.
The Company is not acting as a licensed general contractor under California Business & Professions Code §7000 et seq., unless expressly stated in a separate written agreement.
1. No Contractor Role Under California Law
Under California law, a “contractor” is defined as a person who undertakes or offers to undertake construction or improvement work.
Easy Project LLC:
Does not undertake construction work
Does not contract to perform construction labor
Does not self-perform trade work
Does not assume responsibility for construction means or methods
Does not act as the builder of record
All construction services are performed by independent licensed contractors who are separately contracted by the property owner.
2. No Control of Means, Methods, or Site Safety
Pursuant to California construction standards and case law:
Easy Project LLC does not control:
Contractor means and methods
Job site safety procedures
Contractor employees or subcontractors
Contractor compliance with OSHA or Cal/OSHA
Building code compliance enforcement
Contractors remain solely responsible for job site safety, supervision, and construction execution.
3. No Assumption of Builder Liability
Nothing in the Company’s services shall be interpreted as:
Creating a contractor-subcontractor relationship
Creating a joint venture with any contractor
Assuming responsibility for defective workmanship
Assuming strict liability for construction defects
Under California Civil Code §895 et seq. (Right to Repair Act), responsibility for construction defects rests with the party performing the construction work.
Easy Project LLC provides advisory and oversight services only.
4. Advisory Capacity Only

While the Company may review plans and documentation, the responsibility for compliance with California building codes and regulations rests with licensed design professionals and contractors.
6. No Fiduciary Construction Guarantee
The Company acts as a professional project advisor and Owner’s Representative but does not assume the statutory obligations of a licensed general contractor under California law.
Nothing in the Company’s services shall be construed as:
A warranty of construction
A guarantee of project outcome
An assumption of statutory contractor duties
7. Limitation of Liability (California-Compliant Structure)
To the fullest extent permitted under California law:
The Company’s total liability arising from advisory or management services shall be limited to the total fees paid for such services under a written agreement.
